Terms of service
1. Who we are
The service at verdacre.co.uk (“Verdacre”, “the service”) is operated by [PENDING: legal entity name], registered in England and Wales at [PENDING: registered address] (“we”, “us”). You can reach us at hello@verdacre.co.uk.
Verdacre is a business tool. By creating an account you confirm you are acting in the course of a business, not as a consumer.
2. The service
Verdacre analyses the customer, product and ownership data you provide and produces a prioritised list of expansion opportunities in your existing customer base. Opportunity values and priorities are estimates derived from your own data and rules; they are decision support, not advice, and we do not guarantee any commercial outcome from acting on them.
3. Your account
You are responsible for the accuracy of the data you upload, for keeping your sign-in credentials secure, and for ensuring you have the right to provide the data you load into the service. One person may use each account during a trial; team access is available on paid subscriptions as released.
4. Trial and billing
New accounts start with a 14-day free trial of the full product. A valid payment card is required to start the trial. No charge is made during the trial. When the trial ends, your paid subscription starts automatically and the first payment is collected from your card, at the price shown at checkout, then monthly on a rolling basis until you cancel. Payments are processed by Stripe; we do not store your card details.
We remind you inside the product before your trial ends, and Stripe sends the pre-charge notice required for trials. Prices are stated at checkout; we may change pricing with at least 30 days’ notice, effective from your next billing period.
5. Cancellation and refunds
You can cancel at any time via Manage billing in the product, which opens your Stripe billing portal. Cancelling during the trial means you are never charged. Cancelling a paid subscription takes effect at the end of the current billing period: you keep access until then, and no further payments are taken.
Because this is a business service billed monthly, payments already made are not refundable, except where a charge was made in error or where the law requires a refund. If you believe a charge is wrong, contact us within 30 days and we will put it right.
6. Your data
The data you upload remains yours. We process it only to provide the service, as described in our privacy policy, which forms part of these terms. You can ask for your data to be deleted at any time; we confirm deletion in writing within 14 days. On cancellation we retain your workspace for a reasonable period (not exceeding 12 months) so you can return, unless you ask for earlier deletion.
7. Acceptable use
You agree not to misuse the service: no unlawful content, no attempting to access other organisations’ data, no reselling the service, and no use that degrades the service for others. We may suspend accounts that break this section.
8. Availability and support
We aim to keep the service available at all times but do not yet offer a formal uptime commitment. Support is provided by email at hello@verdacre.co.uk during UK business hours.
9. Liability
Nothing in these terms limits liability for fraud, or for death or personal injury caused by negligence. Otherwise, our total liability under these terms is capped at the amount you paid us in the 12 months before the claim, and we are not liable for indirect losses such as lost profits, lost revenue or lost data, or for decisions you take based on the service’s output.
10. Changes to the service and these terms
We improve the service continually and may add, change or remove features. We may update these terms; if a change is material we will give at least 30 days’ notice by email or in the product. Continuing to use the service after a change takes effect means you accept it.
11. Termination
You can stop using the service and cancel at any time. We may end or suspend your access for material breach of these terms that is not fixed within 14 days of us telling you, or immediately for serious misuse. Sections 5, 6 and 9 survive termination.
12. Governing law
These terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
